These Terms and Conditions ("Agreement") govern the provision of the multi-platform automated booking system ("Service") by Mystrella Digital Agency ("Provider") to innvacation.mx ("Client") for a period of one (1) year.
The Service includes the following features:
Integration with major booking platforms (Airbnb, Booking.com, Expedia, etc.)Centralized management of bookings, calendars, and ratesAutomatic synchronization of calendars and ratesDetailed reports and performance analytics24/7 customer support
The initial term of this Agreement is one (1) year, commencing on the date the Service is activated. This Agreement will automatically renew for successive one (1) year terms unless either party provides written notice of termination at least thirty (30) days prior to the end of the current term.
The Client agrees to pay the Provider an annual fee of [insert amount] for the Service.Payment is due within thirty (30) days of the invoice date.Late payments may incur a late fee of [insert amount or percentage].The Client agrees to a fixed commission of 20% on all bookings processed through the Service.The Provider will pay the commission fees charged by partner platforms.
The Client is responsible for providing accurate and complete information necessary for the setup and operation of the Service.The Client agrees to comply with the terms and conditions of the booking platforms integrated with the Service.The Client is responsible for maintaining the security of their login credentials and promptly notifying the Provider of any unauthorized access.
The Provider will provide the Service with reasonable care and skill.The Provider will use commercially reasonable efforts to ensure the Service is available 24/7, excluding scheduled maintenance and unforeseen circumstances.The Provider will provide technical support to the Client as needed.
The Provider will process personal data in accordance with applicable data protection laws and the Provider's Privacy Policy.The Client consents to the processing of their data as described in the Privacy Policy.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement.This obligation of confidentiality will survive the termination of this Agreement.
Either party may terminate this Agreement with immediate effect if the other party breaches any material term of this Agreement and fails to remedy the breach within thirty (30) days of receiving notice.The Provider may terminate this Agreement immediately if the Client fails to make timely payments.
The Provider will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of the Service.The Provider's total liability under this Agreement will not exceed the amount paid by the Client for the Service in the twelve (12) months preceding the claim.
This Agreement will be governed by and construed in accordance with the laws of Mexico.
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations, whether oral or written.
This Agreement may only be amended in writing and signed by both parties.
All notices under this Agreement must be in writing and sent to the addresses specified in this Agreement or as otherwise designated in writing by either party.
By using the Service, the Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
